Terms of Service

These Terms govern your use of the miapos.eu website, the miaPOS merchant onboarding flow, and the miaPOS instant-payment acceptance platform. They apply together with our Privacy Notice and Cookie Policy.

Effective date: 18 July 2026.

1. Who we are

The miaPOS acceptance platform is operated jointly by:

  • Finergy Tech S.R.L. — HQ Chișinău, Republic of Moldova; IDNO 1014600013927. Contracting party for Moldova and non-EU markets. Activity supervised by the National Bank of Moldova.
  • Instapay Tech S.R.L. — Bucharest, Romania. Contracting party for European Union merchants and EU-market operations. Subject to local financial supervisory authorities in each target market.

References to "miaPOS", "we", "us" and "our" mean the applicable entity above depending on the merchant's country of establishment.

2. What miaPOS provides

miaPOS is a rail-agnostic, ISO 20022-native acceptance platform for European instant payments. We enable merchants to accept account-to-account instant payments over regional rails (SEPA Instant, MIA, RoPay and equivalent) through hardware POS terminals, SoftPOS, QR, NFC, e-commerce checkout, payment links, request-to-pay, and conversational channels. miaPOS does not accept card payments and does not process cardholder data.

3. Who these Terms are for

These Terms apply to (a) any visitor to miapos.eu, (b) any person completing the merchant onboarding flow at /onboarding/, and (c) any business that becomes a miaPOS merchant. Additional contract terms and pricing are agreed separately with each merchant and with each partner bank; the mercantile relationship is between the merchant and the partner bank that activates the account.

4. Merchant activation

Submitting an application through /onboarding/ is a request for activation, not a completed contract. Activation is granted by the partner bank you select and only after the bank's own KYC / AML / eligibility checks succeed. We do not guarantee that a bank will activate any specific applicant. Fees, settlement mechanics, and per-transaction pricing are set by the partner bank in the bank–merchant contract.

5. Acceptable use

You agree not to use miapos.eu or the miaPOS platform:

  • for any purpose prohibited by the applicable law of the Republic of Moldova, the European Union, or the merchant's country of establishment;
  • to circumvent, disable, or interfere with security features, rate-limits, or anti-abuse mechanisms (including reCAPTCHA);
  • to submit false, misleading, or third-party information in the onboarding flow;
  • to attempt unauthorised access to any part of the platform, its APIs, or its infrastructure;
  • for any activity that violates instant-payment scheme rules (SEPA Instant, MIA, RoPay and equivalent) or AML / CFT obligations.

6. Intellectual property

The miaPOS brand, wordmark, logos, documentation, source code, APIs, and design system are the property of Finergy Tech S.R.L. and Instapay Tech S.R.L. Content on miapos.eu is provided for the merchant's business use only. Nothing in these Terms grants you a licence to reproduce, resell, sublicense, or create derivative products from the platform without a separate written agreement.

7. Third-party services

The site loads Google reCAPTCHA v3 (only after cookie consent), Google Fonts, Cloudflare (hosting, DNS), HubSpot (CRM), Brevo (transactional email — EU processor), and an SMS gateway (OTP delivery). Their processing of your data is described in our Privacy Notice. Use of miaPOS is subject to those providers' own terms and privacy policies where applicable.

8. Availability

We aim to keep miapos.eu and the platform available on a best-effort basis. We do not commit to a specific uptime SLA in these public Terms. Merchant-specific SLAs, if any, are set in the bank–merchant contract or in a separate service agreement.

9. Warranty disclaimer

miapos.eu and the miaPOS platform are provided "as is" and "as available" to the maximum extent permitted by applicable law. To the extent permitted by law, we disclaim all implied warranties of merchantability, fitness for a particular purpose, and non-infringement. Instant-payment settlement depends on external rails; we do not warrant availability or performance of any specific rail or partner bank.

10. Limitation of liability

To the maximum extent permitted by law, neither Finergy Tech S.R.L. nor Instapay Tech S.R.L. is liable for indirect, incidental, special, consequential or punitive damages, or for loss of profits, revenue, data, or business opportunities, arising out of or in connection with your use of miapos.eu or the miaPOS platform. Nothing in these Terms limits liability that cannot be limited by law (e.g. gross negligence, wilful misconduct, personal injury, or the merchant's statutory consumer rights where applicable).

11. Termination

We may suspend or terminate your access to miapos.eu or the platform, without notice, if we reasonably believe you have breached these Terms, applicable law, or the operating rules of a payment scheme, or if a partner bank instructs us to do so for its own compliance reasons. The merchant may terminate its relationship at any time subject to the bank–merchant contract.

12. Changes to these Terms

We may update these Terms from time to time. Material changes will be announced on this page with a revised "Effective date". Continued use of the site or the platform after a change constitutes acceptance of the updated Terms.

13. Governing law and venue

For merchants established in the European Union, these Terms are governed by Romanian law, with jurisdiction of the competent courts of Bucharest, Romania. For merchants established in the Republic of Moldova and non-EU markets, these Terms are governed by Moldovan law, with jurisdiction of the competent courts of Chișinău, Republic of Moldova. Mandatory consumer-protection rules of the merchant's country of establishment are not affected by this clause.
